Merchant Terms of Service
Last updated: 11 September 2026
1. Agreement and eligibility
These Terms govern access to YoopCart websites, cloud commerce services, administration tools, APIs, themes, plugins, support, and related services. By creating an account, accepting an order form, or using the Services, you agree to these Terms for yourself or the organisation you represent. You must be legally capable of entering a binding agreement and authorised to act for that organisation.
2. Accounts and store ownership
You must provide accurate account information, protect credentials, maintain current owner and billing contacts, and promptly notify us of suspected unauthorised access. The account owner controls store access and is responsible for users, roles, applications, content, configurations, and activity performed through the account.
3. The merchant-customer relationship
YoopCart provides commerce infrastructure. Unless expressly stated in a separate agreement, YoopCart is not the seller, merchant of record, buyer, marketplace counterparty, payment institution, carrier, or tax adviser for transactions between a merchant and its customers. Merchants are responsible for products, pricing, product safety, taxes, consumer disclosures, fulfilment, returns, refunds, customer support, and compliance in every market where they operate.
4. Merchant obligations
You must publish accurate business contact details and customer-facing terms, privacy, shipping, cancellation, and refund information required by applicable law. You must obtain all rights and permissions necessary for content and data submitted to the Services and comply with the Acceptable Use Policy. Regulated goods or services may require licences, age verification, restricted delivery, or may be prohibited.
5. Subscriptions, fees, and taxes
Paid Services are billed according to the selected plan, order form, or checkout. Charges may be recurring and are due using the payment method on file. Fees exclude taxes unless stated otherwise. You are responsible for applicable taxes and valid billing information. We may suspend paid functionality after notice of overdue amounts. Material price changes will be notified in advance where required by law or contract.
6. Third-party services
Payment gateways, identity providers, carriers, apps, themes, domains, and other integrations may be supplied by third parties under their own terms. Enabling an integration authorises the necessary exchange of data. YoopCart is not responsible for third-party services, but remains responsible for its own obligations under applicable law and the Data Processing Addendum.
7. Service changes, availability, and beta features
We may improve, modify, or discontinue features while seeking to avoid material disruption. Planned maintenance and incidents may affect availability. Preview or beta features may change and are supplied without service commitments unless an order form states otherwise.
8. Intellectual property and merchant content
YoopCart and its licensors retain rights in the Services, software, documentation, branding, and platform materials. You retain rights in your content. You grant YoopCart a limited, worldwide licence to host, copy, transform, transmit, and display your content only as necessary to provide, secure, support, and improve the Services and comply with law.
9. Confidentiality and data protection
Each party must protect non-public information received from the other and use it only for the agreement. Personal data is handled under the Privacy Policy and, where YoopCart processes merchant customer data on the merchant's instructions, the Data Processing Addendum.
10. Suspension and termination
You may stop using the Services and close stores subject to outstanding charges and export or retention rules. We may restrict or suspend access when reasonably necessary for security, non-payment, legal compliance, material breach, or risk to the platform or third parties. Where appropriate, we will give reasons and an opportunity to remedy or appeal. On termination, access ends and data is deleted or retained according to law, the DPA, and documented retention periods.
11. Warranties and liability
The Services are provided with reasonable skill and care. Except for warranties that cannot lawfully be excluded, no guarantee is made that every feature will be uninterrupted or suitable for every business. Neither party is liable for indirect or consequential loss to the extent permitted by law. Any contractual liability cap, exclusions, and exceptions stated in an applicable order form prevail. Nothing excludes liability that cannot be excluded, including liability for fraud or deliberate misconduct.
12. Changes, governing law, and contact
We may update these Terms for legal, security, or product reasons and will provide reasonable notice of material changes. The contracting YoopCart entity shown on your invoice or order form is your counterparty. Unless that document states otherwise, Bulgarian law applies and competent Bulgarian courts have jurisdiction, subject to mandatory rights and applicable EU rules. Questions may be sent to legal@yoopcart.com.
13. Cancellation, withdrawal, refunds, and annual-plan settlement
YoopCart provides a contractual 15-day cooling-off period from the subscription start, as a commercial guarantee for verified business customers. A cancellation requested within this contractual period takes effect immediately, without a cancellation fee. Any captured subscription payment is returned to the original payment method, subject to payment-provider processing time.
After that period, a monthly subscription may be canceled at the end of its current paid period. The account remains available until that date and no further renewal is charged. The customer may instead choose immediate closure, but the unused part of that monthly period is not refunded.
An annual subscription is canceled immediately. The settlement compares the remaining prepaid annual amount with every annual-price and promotional discount already received for consumed months. Each entered partial month counts as a consumed month. If the remaining prepaid amount is greater, the difference is refunded to the original payment method. If both amounts are equal, no refund or charge is made. If received discounts are greater, no refund is due and the difference is invoiced as a cancellation charge payable by the customer. A calculation preview is shown before confirmation and the resulting refund, zero settlement, or amount due is recorded separately.
Cancellation does not remove accrued invoices, refund records, statutory accounting records, or other amounts already due. Refunds cannot exceed the captured amount and are returned through the original payment method where supported. The Services and these cancellation rules are offered exclusively to verified business customers.
14. Partner programme
The YoopCart partner programme enables approved independent businesses and professionals to introduce and develop merchant opportunities and earn commission on eligible revenue collected by YoopCart. Applications and programme information are available through the YoopCart Partners portal. Applying does not create an approved partnership, guarantee acceptance, or entitle the applicant to commission. Participation starts only after review and approval.
Partners operate as independent businesses. Participation does not create employment, a salary, a retainer, an exclusive territory, or authority to enter agreements, make warranties, collect payments or incur obligations on behalf of YoopCart. Partners are responsible for their own expenses, registrations, taxes and ability to issue an appropriate invoice. Any different arrangement requires a separate written agreement with YoopCart.
For assisted sales, partners must register opportunities accurately before claiming protection or attribution. Partners expressly enabled for the affiliate channel may instead introduce eligible new customers through their assigned referral code or link after their company administrator accepts the affiliate rules. YoopCart reviews existing customers, inbound relationships, duplicate registrations and conflicts before approving an opportunity or assigning a customer. Registration alone does not establish ownership of a customer or a right to commission. Protection periods and activity requirements follow the published programme. YoopCart may review participation against agreed pilot targets. Approval is account-specific and does not grant territory or market exclusivity. Information about competing partners is not disclosed through conflict review.
The first valid affiliate link has a 30-day referral window. Subsequent links do not extend that window. An explicitly entered valid code replaces a link referral before the customer submits registration. Once a referral is saved with a successful registration, subsequent links, verification reminders and the end of the browser window do not replace it. Attribution is confirmed when the new customer company is created and eligibility checks are complete, or following a recorded review. The referral window is separate from the commission duration. Remembering a referral between browser visits is optional; a customer may enter a code manually without choosing persistent referral storage. Cross-device tracking before registration is not provided.
Affiliate codes do not provide a customer discount. Existing customer attribution and protected opportunities take precedence; a code does not transfer a customer between partners. A new store within the same customer account does not create a new commission entitlement or restart its duration. Self-referrals are not eligible; related businesses and uncertain identity matches require review. A code is reserved to its original partner and cannot be reassigned to another company. Pausing a code prevents new automatic referrals without erasing accepted attribution or recorded commission. Disabling partner access does not itself alter previously locked customer terms. Affiliate customers follow the same commission, refund, invoice and settlement rules as other programme customers.
Commission rates, rate bands, eligible categories and the subscription commission duration are set out in the commercial programme published in the Partners portal. Illustrative calculations are examples, not promises of income. An opportunity marked as won, an unpaid invoice or a projected subscription value does not constitute collected revenue or earned commission.
A customer's commercial terms are locked at that customer's first confirmed positive payment. The saved terms include the applicable commission rates, rate bands and duration, together with the first-payment reference and timestamp. These saved terms govern subsequent eligible revenue for that customer. Later programme changes apply to customers who have not yet made their first payment and do not replace, reduce or extend terms already locked for a paying customer. Delayed processing uses the terms effective at the first confirmed payment, not the terms current when processing takes place. Changing a customer's subscription or assigning the customer to another partner does not restart the commission period or replace the locked rates. Existing recorded commission and customer agreements are preserved when the programme configuration changes.
Commission is calculated on eligible net collected revenue. Taxes, discounts, credits, refunds, chargebacks and pass-through costs are excluded where applicable. Domains and third-party products or services are not commissionable. YoopCart themes and plugins qualify only where the revenue is attributable to YoopCart-owned products. Custom development requires commercial and margin approval. Annual subscription commission is recognised over the service months within the customer's applicable commission window, rather than all becoming payable on receipt of an annual payment. Subscription commission becomes zero after that customer's locked duration ends.
Amounts are settled in EUR and rounded to eurocents. Any remainder from an annual allocation is included in its final service month. Refunds and chargebacks produce corresponding adjustments against the original commission, including where a later adjustment must be carried into a subsequent statement. Changes to the published programme do not reprice historical entries.
Eligible earned commission becomes payable through monthly closing after recorded refunds and adjustments. The partner submits an appropriate invoice against the statement; YoopCart Finance reviews the invoice and records payment. A dashboard estimate, statement, invoice submission or payment record is not a guarantee of a particular bank processing time. The portal records settlement evidence and does not itself execute a bank transfer. Partners should raise disputed attribution or statement amounts promptly through YoopCart support, identifying the relevant customer or statement.
Partners must provide accurate information, disclose relevant conflicts, protect confidential information and use prospect and customer personal data lawfully and only for authorised purposes. Programme access does not grant merchant administration rights. Access to a merchant's account requires the merchant's separate authorisation. A partner must not misrepresent its relationship with YoopCart, make unauthorised product or income claims, or submit fraudulent opportunities or invoices.
YoopCart may suspend or end partner access for the reasons described in these Terms or for a material breach of the programme requirements. Suspension of portal access does not itself rewrite a customer's locked terms or erase commission already recorded. Outstanding valid amounts remain subject to the applicable agreement, verification, refunds, adjustments and settlement requirements. The merchant's own subscription, service fees and contractual rights remain governed by its agreement with YoopCart; partner participation does not transfer the merchant's obligations to the partner.
